An employment relationship with your employee or independent contractor is “contractual” in nature.  Contracts give rise to rights and obligations.

Well-drafted contracts clearly spell out those rights and obligations.  Well-drafted contracts are enforceable.

Many employers don’t learn – until its too late – that poorly drafted contracts are often deemed unenforceable or void by the courts (because the drafting is unclear) or else the courts construe ambiguous contractual terms against the drafter of the contract (according to a legal doctrine called contra proferentum).

Where there is no contract, the court’s can “imply” certain contractual terms.  More often than not, “implied” contractual terms work in the employee’s favour.

It is not uncommon that a well-drafted contract can save an employer tens of thousands of dollars, particularly in severance payments.
